Terms & Conditions
These Terms & Conditions (“T&C”) govern all sales, deliveries, services, and use of products provided by cryoWrite AG (“cryoWrite”, “we”, “us”, “our”), registered in Switzerland. By placing an order or using cryoWrite products or services, the customer (“Customer”, “you”) accepts these T&C.
1. Scope
1.1. These T&C apply to all offers, quotations, sales contracts, deliveries, training services, maintenance services, and digital content (including software and documentation) provided by cryoWrite AG.
1.2. Deviating terms from the Customer are valid only if explicitly accepted in writing by cryoWrite.

2. Quotations & Orders
2.1. Quotations by cryoWrite are non-binding unless explicitly stated otherwise.
2.2. A binding contract is formed only upon written order confirmation by cryoWrite.
2.3. Product specifications, brochures, and technical data sheets are indicative and may be updated as part of continuous product development.

3. Prices & Payment Terms
3.1. Unless stated otherwise, all prices are in CHF and exclude VAT, customs duties, shipping costs, and installation fees.
3.2. Payment terms are 30 days net from invoice date unless specified in the order confirmation.
3.3. CryoWrite reserves the right to require advance payments for custom orders, high-value equipment, or international shipments.
3.4. Late payments may incur interest charges as allowed by Swiss law.

4. Delivery & Transfer of Risk
4.1. Delivery times are estimates; cryoWrite shall not be liable for delays caused by supply chain issues, force majeure, or customer-related delays.
4.2. Shipments are made EXW Basel, Switzerland (Incoterms 2020), unless otherwise agreed.
4.3. Risk transfers to the Customer once goods are handed over to the carrier.
4.4. The Customer is responsible for obtaining any import or regulatory approvals required in their jurisdiction.

5. Installation, Training & Acceptance
5.1. cryoWrite offers installation and training services for the cryoWriter instrument, either on-site or remote.
5.2. Successful installation and demonstration of basic functionality constitute acceptance of the product.
5.3. Any defects must be reported in writing within 10 days of acceptance.

6. Software & Firmware Licensing
6.1. cryoWrite software, firmware, and digital content are licensed, not sold.
6.2. The Customer receives a non-exclusive, non-transferable, revocable license for use solely with cryoWrite hardware.
6.3. Reverse engineering, copying, distributing, or modifying the software is prohibited unless permitted by law.
6.4. cryoWrite may provide updates or patches; installation of updates is the Customer’s responsibility.

7. Warranty
7.1. cryoWrite warrants that its hardware is free from material and manufacturing defects for 12 months from delivery, unless contractually extended.
7.2. Warranty excludes:

normal wear and tear
-
improper installation, operation, or maintenance
-
damage from incompatible third-party components
-
misuse, modifications, or unauthorized repairs
-
consumables
7.3. Warranty claims require written notification and proof of defect.
7.4. CryoWrite may, at its discretion, repair, replace, or refund the defective product. This is the Customer’s sole remedy.

8. Support & Maintenance
8.1. cryoWrite provides technical support during business hours (CET).
8.2. Extended service contracts, preventive maintenance, and priority support may be offered separately.
8.3. Remote diagnostics may require the Customer to grant temporary access to the system.

9. Liability
9.1. cryoWrite is liable only for damages caused by gross negligence or intentional misconduct, as permitted by Swiss law.
9.2. cryoWrite is not liable for:

indirect, incidental, or consequential damages

loss of samples, data, or research results
-
downtime or loss of productivity
9.3. Total liability is limited to the purchase price of the product or service in question.

10. Intellectual Property
10.1. All intellectual property relating to cryoWrite products—including designs, hardware, software, trademarks, patents, manuals, and training materials—remains the exclusive property of cryoWrite AG.
10.2. The Customer receives no rights beyond normal use of the product.

11. Confidentiality
11.1. Both parties commit to keeping confidential any non-public technical, commercial, or operational information received during the cooperation.
11.2. This obligation continues for 3 years after termination of the contract.

12. Data Protection
12.1. cryoWrite processes personal data in accordance with the Swiss Federal Act on Data Protection (FADP) and, where applicable, the EU GDPR.

​
13. Export Control
13.1. cryoWrite products may be subject to Swiss, EU, or US export regulations.
13.2. The Customer is responsible for compliance with local import, export, and usage laws.

14. Cancellation & Returns
14.1. Orders for custom-built systems or special components cannot be canceled after confirmation.
14.2. Other cancellations must be approved in writing and may incur fees.
14.3. Returns are accepted only with prior authorization.

15. Governing Law & Jurisdiction
15.1. These T&C are governed by Swiss law.
15.2. The exclusive place of jurisdiction is Basel, Switzerland, unless mandatory law dictates otherwise.
16. Changes to Terms & Conditions
16.1. cryoWrite reserves the right to amend these T&C at any time.
16.2. The version applicable at the time of contract formation remains binding.
